Our Corporate Governance Approach



Our main focus is to ensure that at Fondo de Fondos we have a solid Corporate Governance, which contributes to sustainability and focuses on generating economic benefits, while promoting a responsible organizational culture. This is fundamental to ensure that the interests of all stakeholders are aligned. Proper management within our Corporate Governance is the basis that guides our actions, guaranteeing the integrity of the company and protecting our long-term objectives.





We are committed to ensuring a solid governance by promoting transparency in our processes, adequate representation of all stakeholders, implementation of best practices throughout our operations, effective resolution of conflicts of interest, and meticulous management of asymmetric information in the decision-making process. Governance Structure



The corporate governance structure of Administradora CMIC, S.A. de C.V. comprises the Stockholders' Meeting as the highest decision-making body and the Board of Directors, composed of four institutional directors, one for each stockholder. In addition, a modern corporate governance model is implemented in Fondo de Fondos, which guarantees compliance with the objectives of the stockholders through independence in decision-making and the adoption of the best international practices in the industry, with a structure that includes a Stockholders' Meeting, a Board of Directors with 50% of independent directors and three auxiliary committees.

Ethics within Fondo de Fondos





Administradora CMIC is fully committed to the promotion and respect of Human Rights. Our policies and guidelines reflect an unwavering commitment to the highest standards of respect for the fundamental rights of all people. In particular, our Code of Ethics, which regulates expected conduct in both the professional and personal spheres, has a scope that encompasses officers, board members, committee members, fund managers and suppliers.

This code not only establishes ethical standards, but also covers behaviors that promote support and respect for the protection of human rights, classifying some behaviors as "important" or "serious". Recognizing the importance of maintaining a balance between work, personal and social well-being and its impact on the physical and mental health of our employees, at Fondo de Fondos we have made significant efforts to safeguard and promote all aspects related to their well-being.


In our Code of Ethics we describe the principles, values and guidelines that determine the business conduct of all members of our team, promoting respect, integrity and honesty in our actions both inside and outside the organization. In addition, on the Fondo de Fondos website, we provide an Ethics Reporting Line that guarantees the confidentiality of the whistleblower's data.

Cybersecurity

Cybersecurity is at the forefront of the Fondo de Fondos' agenda. We firmly believe that an adequate administration of data security enables us to ensure the integrity, confidentiality, availability and authenticity of the information generated and stored, which plays an essential role in the optimal functioning of our organization. This is why we have concentrated our efforts in the execution of measures to preserve data security, among which the following stand out:

  • I. The implementation of the double authentication system in our critical systems.

  • II. The adoption of anti-malware, anti-spam and state-of-the-art hardware solutions.

  • III. Segmentation of our internal communications.

  • IV. The constant review and updating of security patches at the operating system, antivirus and hardware levels.

  • V. Disk encryption on all our devices.

  • VI. The implementation of our Business Continuity Plan (BCP) and Disaster Recovery Plan (DRP).

  • VII. The secure configuration of all our passwords, following the best market practices, among other initiatives.

We propose to promote a culture of cybersecurity, which is reflected in our decision to periodically publish "cybersecurity capsules" in our monthly Fondo de Fondos newsletter.
